THIS INCLUDES LOSS OF PROFITS, REVENUE, DATA, USE, OR BUSINESS, AND DAMAGES ARISING FROM YOUR INABILITY TO USE THE SERVICES, A SECURITY INCIDENT, OR CONTENT OR SERVICES OBTAINED THROUGH THE SERVICES.

THIS LIMIT APPLIES TO CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES, UNDER ANY LEGAL THEORY, EVEN IF A MOTIVATIONALQUOTESNOW PARTY WAS ADVISED THAT SUCH DAMAGES COULD OCCUR.

TO THE FULLEST EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF THE MOTIVATIONALQUOTESNOW PARTIES FOR CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100.00).

Additional disclaimers displayed within the Services are incorporated into these Terms. If an additional disclaimer places greater restrictions on your use of the Services or their content, those restrictions will apply to the extent permitted by law.

Some jurisdictions do not allow certain liability limitations. In those jurisdictions, this section applies only to the extent permitted by law.

13. Arbitration and Class Action Waiver

Claims covered by arbitration

You and MotivationalQuotesNow agree that these Terms involve interstate commerce and that the Federal Arbitration Act governs this arbitration section.

Except for the claims described below, this section applies to disputes between you and MotivationalQuotesNow relating to the Services, these Terms, or your relationship with MotivationalQuotesNow. It applies to claims based on contract, tort, statute, fraud, misrepresentation, or another legal theory, including claims that arose before these Terms took effect or after they end.

Claims that may be brought in small claims court and certain intellectual property claims are excluded from this arbitration requirement.

Informal resolution first

Before starting arbitration, you and MotivationalQuotesNow agree to try to resolve the dispute through good-faith discussions. Contact MotivationalQuotesNow using the legal contact details published on the Website and describe the dispute and the relief you are seeking.

The parties will have 30 days from the start of this informal process to try to reach a resolution. If they cannot resolve the dispute within that period, either party may begin arbitration, subject to this section.

Binding arbitration

Arbitration will be the required method for resolving disputes covered by this section. The arbitrator—not a federal, state, or local court or agency—will have authority to decide disputes about the interpretation, applicability, enforceability, or formation of these Terms or the Privacy Policy, including whether a dispute must be arbitrated.

The arbitrator may award any relief that would be available in court under applicable law or equity. The arbitrator’s written decision will be binding on the parties and may be entered as a judgment in a court with jurisdiction.

To begin arbitration:

  1. Prepare a Demand for Arbitration describing your claim and the amount of damages you seek. A form is available from JAMS at www.jamsadr.com.

  2. Send three copies of the Demand, along with the applicable filing fee, to JAMS, 620 Eighth Avenue, NY Times Building, 34th Floor, New York, NY 10018, USA.

  3. Send a copy of the Demand to MotivationalQuotesNow using the legal contact details published on the Website.

Without this arbitration agreement, the parties would have the right to bring covered disputes in court and have a jury trial. Arbitration may cost more than litigation in some cases, and the ability to obtain information from the other party may be more limited.

You and MotivationalQuotesNow agree to the personal jurisdiction of the federal and state courts in Los Angeles, California, for proceedings to compel arbitration, pause a court case while arbitration is pending, or confirm, modify, vacate, or enter judgment on an arbitration award.

Class action waiver

YOU AND MOTIVATIONALQUOTESNOW AGREE THAT CLAIMS MAY BE BROUGHT ONLY IN EACH PARTY’S INDIVIDUAL CAPACITY, NOT AS A PLAINTIFF OR CLASS MEMBER IN A CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION. The parties waive the right to seek relief on a class basis.

If a court or arbitrator determines that this waiver is unenforceable and that a class arbitration may proceed, the arbitration provisions in this section will be void.

30-day right to opt out

You may opt out of the arbitration and class action waiver provisions by sending written notice to MotivationalQuotesNow using the legal contact details published on the Website. Use the subject line “ARBITRATION AND CLASS ACTION WAIVER OPT-OUT.”

Your notice must be sent within 30 days after you agree to these Terms. If you opt out, MotivationalQuotesNow will also not be bound by these arbitration provisions.

Changes to this section

MotivationalQuotesNow will give at least 30 days’ notice of changes to this arbitration section by posting a notice through the Services, sending you a message, or using another reasonable method. Changes will take effect 30 days after notice is provided and will apply only to claims arising after that date.

If this subsection is found unenforceable, it will be severed, and the arbitration section in effect when you began using the Services will apply.

This arbitration section will remain in effect after your use of the Services ends.

14. Governing Law

These Terms and your relationship with MotivationalQuotesNow are governed by the laws of the State of California, without regard to its conflict-of-law rules.

Any claim that is not subject to arbitration must be brought in a federal or state court located in Los Angeles County, California. You and MotivationalQuotesNow agree to the jurisdiction of those courts for such claims.

15. Time Limit for Claims

Any claim arising out of or relating to these Terms, the Website, or the Services must be brought within one year after it arises. After that period, the claim is permanently barred, except where applicable law does not allow this time limit.

16. General Terms

These Terms and the policies they incorporate form the entire agreement between you and MotivationalQuotesNow regarding the Services. They replace any earlier agreements or understandings on that subject.

If MotivationalQuotesNow does not enforce a provision of these Terms, that does not waive its right to enforce it later. Any waiver or amendment by MotivationalQuotesNow must be in writing.

If a court finds part of these Terms invalid or unenforceable, that part will be limited or severed as necessary, and the remaining provisions will continue to apply. The invalid or unenforceable provision will be replaced, where possible, with a valid provision that most closely reflects its original purpose.
